Terms & Conditions  (GTC)

1. Scope of Services
Visual01 provides creative and strategic services, including but not limited to:

• Content production (photo & video)

• Social media management

• Brand communication & consulting

• Graphic design

• UGC (User Generated Content) production

The exact scope, deliverables and timelines are defined in the respective offer, proposal or written agreement.
 
2. Offers & Acceptance
All offers issued by Visual01 are non-binding until confirmed in writing.
A project is considered confirmed only when:

• The client has approved the offer in writing, and

• Any agreed deposit has been received

Visual01 reserves the right to decline projects that do not align with its quality or brand standards.
 
3. Payment Terms

• Invoices are payable within 5-10 days unless otherwise agreed

• Ongoing or monthly services must be paid in advance

• Production projects may require a 30–50% deposit

In case of late payment:

• Services may be paused or withheld

• A reminder fee and/or interest may be charged

All prices are exclusive of VAT (if applicable).

4. Intellectual Property & Usage Rights
All content, concepts and materials created by Visual01 remain the intellectual property of Visual01 until full payment has been received.
Upon full payment, the client receives usage rights as defined in the agreement, typically for:

• Marketing

• Communication

• Brand use

Unless explicitly agreed otherwise:

• No resale, sublicensing or third-party transfer is allowed

• No modification or reuse beyond agreed scope is permitted

Extended usage (e.g. paid ads, licensing, resale) must be agreed separately.
 
4.1 Retention of Ownership 
All content, concepts and materials created by Visual01 remain the property of Visual01 until full payment has been received.
The client is not permitted to use, publish or distribute any content before full payment.

 
5. Revisions & Creative Direction
Unless otherwise stated:

• 1 revision round is included

• Additional revisions are billed separately

• Major concept changes after approval are treated as new work

Visual01 operates with a clear creative direction. Excessive changes or unclear feedback may result in additional charges.

 
6. Liability Limitation
Visual01 is liable only for damages caused by intentional or grossly negligent behavior.
Visual01 is not liable for:

• Social media algorithm changes

• Platform reach or engagement

• Advertising performance

• Sales or business outcomes

To the extent permitted by Swiss law, any further liability is excluded.


 
SOCIAL MEDIA MANAGEMENT TERMS
1. Scope
Social media services may include:

• Strategy development

• Content planning

• Content production

• Publishing & scheduling

• Monitoring & reporting

• Trend research

Exact deliverables are defined in the agreement.
 
2. Account Access
The client must provide:

• Full admin access

• Advertising access (if applicable)

• Brand assets and guidelines

Visual01 is not responsible for delays caused by missing or restricted access.
 
3. Platform Definition

• Meta (Instagram + Facebook connected account) = 1 account

• Each additional platform (TikTok, LinkedIn, YouTube, etc.) is billed separately

• Each brand or business entity is treated as a separate account
   

4. Commitment & Payment

• Monthly services are paid in advance

• A minimum commitment of 3–6 months is strongly recommended to achieve measurable results

 
UGC & CONTENT LICENSING
1. UGC Production
UGC may include:

• On-camera appearances

• Product presentations

• Trend-based content

Visual01 produces UGC exclusively for the client’s use.
There is no obligation to publish content on personal channels.
 
2. Usage Rights
Unless otherwise agreed:

• Organic usage is included

• Paid advertising rights (ads, whitelisting, boosting) require separate agreement

• Usage duration is defined per project (e.g. 3, 6, 12 months or unlimited)

PRODUCTION & SHOOTING TERMS
1. Booking Confirmation
Production dates are secured only after:

• Written confirmation

• Deposit payment (30–50%)

2. Cancellation Policy

• 7 days before: 30% fee

• 48 hours before: 50% fee

• Same-day: 100% fee

3. Force Majeure
In case of:

• Extreme weather

• Illness

• Unforeseen circumstances

The production may be rescheduled.
 
4. Raw Material
Raw files (photo/video) are not included unless explicitly agreed in writing.

 
ADVERTISING & PERFORMANCE
If Visual01 manages advertising:

• Ad budgets are paid directly by the client

• Visual01 charges a management fee

• No guaranteed ROI or results

Performance depends on:

• Market conditions

• Competition

• Budget

• Product and positioning

PAYMENT ENFORCEMENT
If payment is not received:

• Usage rights remain with Visual01

• Content may not be used publicly

• Services may be suspended immediately

PORTFOLIO RIGHTS
Visual01 reserves the right to use created content for:

• Portfolio

• Website

• Social media

Unless otherwise agreed in writing.

 
Visual01 operates as a premium creative partner, not a volume-based content provider.
All work is delivered with:

• Strategic intent

• Brand alignment

• Long-term positioning focus

Data Protection
All client data is treated confidentially and used only for project execution, in accordance with applicable Swiss data protection laws.

Applicable Law & Jurisdiction
This agreement is governed by Swiss law.
Place of jurisdiction is Kloten, Canton Zurich, Switzerland, unless mandatory legal provisions provide otherwise.
